2. Customer: A user who purchases products from the platform.

User Accounts

1. Registration: To use our platform, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account details.

2. Eligibility: You must be at least 18 years old to register as a Vendor or Customer.

3. Account Termination: We reserve the right to suspend or terminate accounts that violate our terms or engage in fraudulent activities.

Vendor Responsibilities

1. Product Listings: Vendors are responsible for providing accurate and detailed descriptions, pricing, and images of their products. False or misleading information may result in account suspension.

2. Order Fulfillment: Vendors must fulfill orders promptly and within the specified time frame. Failure to do so may result in penalties or account suspension.

3. Account Termination: We reserve the right to suspend or terminate accounts that violate our terms or engage in fraudulent activities.

4. Inventory Management: Vendors must ensure that their product inventory is accurate and up-to-date. Any discrepancies in stock availability must be promptly reflected on the platform to avoid customer complaints.

5. Pricing Transparency: Vendors are responsible for setting accurate and transparent pricing for all products, including any discounts or offers. Hidden charges or misleading pricing practices are strictly prohibited.

6. Product Authenticity: Vendors must guarantee that all products listed are genuine and not counterfeit. Misrepresentation of product authenticity may lead to penalties or account suspension.

7. Shipping and Packaging Standards: Vendors must adhere to the platform's guidelines on shipping and packaging. Products should be securely packaged, and the agreed delivery timelines must be met

8. Return and Refund Compliance: Vendors must honor the platform's return and refund policy. Disputes regarding returns and refunds should be resolved in accordance with the platform’s procedures.

9. Prohibited Products: Vendors are prohibited from listing products that violate local laws, ethical standards, or the platform's guidelines, such as illegal items, hazardous materials, or items that infringe on intellectual property rights.

Customer Responsibilities

1. Accurate Order Information: Customers must provide accurate and complete information during the ordering process, including shipping addresses and contact details. Incorrect information can lead to delivery delays or order cancellation.

2. Order Placement: Customers must ensure that all information provided during the order process is accurate. Incorrect information may result in order delays or cancellations

3. Order Cancellations: Customers should follow the platform’s guidelines for order cancellations. Frequent cancellations or non-payment may result in account limitations.

4. Payments: Customers agree to pay the total amount due for their purchases, including taxes and shipping fees. Non-payment may result in account suspension.

5. Timely Payment: Customers agree to complete payment for their orders in a timely manner. Orders may not be processed until full payment is received.

6. Returns and Refunds: Customers may request returns and refunds in accordance with our Return Policy. The final decision rests with the Vendor.

7. Receipt of Delivery: Customers are responsible for inspecting products upon delivery. Any issues or damages should be reported immediately, following the platform’s dispute resolution process.

8. Fair Use Policy: Customers must use the platform fairly and not engage in activities like placing fake orders, submitting fraudulent reviews, or attempting to exploit the system.

9. Product Reviews and Ratings: Customers are encouraged to provide honest and constructive feedback for purchased products. However, reviews should be based on genuine experiences and not influenced by personal bias or external incentives.

10. Adherence to Return Policy: Customers should review and understand the platform’s return policy before making a purchase. Products returned must be in their original condition, along with any packaging or accessories, for refunds or exchanges to be processed.

Fees and Payments

1. Commission Fees: Vendors agree to pay a commission fee to MerchantBD for each sale made on the platform. The fee structure will be detailed in a separate agreement

2. Payment Processing: All payments are processed through secure third-party payment gateways. We are not responsible for any issues arising from payment processing.

Limitation of Liability

1. No Warranty: The platform is provided 'as is' without any warranties, express or implied. We do not guarantee the accuracy, completeness, or reliability of any content or services.

2. Liability Limitation: To the maximum extent permitted by law, MerchantBD is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform.

Dispute Resolution

1. Governing Law: These terms shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh.

2. Arbitration: Any disputes arising from these terms or the use of the platform shall be resolved through binding arbitration in the People’s Republic of Bangladesh.

Modifications

1. Amendments: We reserve the right to modify these terms at any time. Changes will be effective upon posting on the platform. Continued use of the platform after changes are posted constitutes acceptance of the new terms.
